1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Saifullah Khalid, operating through toolgive.com (“we,” “us,” or “our”), governing your access to and use of the WP AI Builder WordPress plugin and the toolgive.com website (collectively, the “Service”). By downloading, installing, or using WP AI Builder, or by accessing toolgive.com, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Description of the Service

WP AI Builder is a WordPress plugin that implements a Model Context Protocol (MCP) server inside your WordPress installation, enabling AI clients — such as Claude Desktop, ChatGPT, Cursor, and Windsurf — to interact with your WordPress site through a structured JSON-RPC interface. Through WP AI Builder, connected AI clients can read your page structure, create and update Elementor page layouts, manage content, and perform other WordPress operations within the plugin’s permission system.

WP AI Builder is available under three subscription tiers:

• Free — $0 forever, including 1 WordPress site and 50 AI requests per day.
• Starter — $9.99 per month (or $49 per year), including 1 WordPress site and 750 AI requests per day.
• Pro — $19.99 per month (or $99 per year), including 3 WordPress sites and 3,000 AI requests per day.

3. Licence Grant

Subject to your compliance with these Terms and, where applicable, payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and install WP AI Builder on the number of WordPress sites permitted by your subscription tier, and to use it for your personal or commercial purposes, subject to the restrictions in Section 4.

WP AI Builder is distributed under the GNU General Public Licence version 2 (GPL-2.0) or later. The GPL-2.0 licence governs the core plugin code. However, the WP AI Builder name, branding, premium features, and documentation remain our intellectual property and may not be redistributed or rebranded without prior written permission. Paid subscriptions grant access to features and usage capacity — they do not alter the rights granted under the GPL for the underlying open-source code.

4. Acceptable Use

You agree to use WP AI Builder only for lawful purposes. You must not:

• Use the Service in any way that violates any applicable local, national, or international law or regulation.
• Use the Service to create or publish content that is unlawful, defamatory, fraudulent, obscene, or otherwise objectionable.
• Attempt to circumvent or disable the plugin’s licence validation, request-limit enforcement, or security mechanisms.
• Reverse-engineer, decompile, or disassemble any portion of the Service beyond what is permitted by applicable law.
• Make excessive API calls beyond your subscription plan’s daily limits.
• Resell, sublicence, or make the Service available to third parties in a way that competes with toolgive.com’s commercial offering, without prior written permission.

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you have violated these acceptable use requirements.

5. Accounts and Registration

To access paid features, you must create an account through our licensing partner, Freemius. When you register, you agree to provide accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately at support@toolgive.com if you suspect unauthorised access to your account.

6. Subscription, Billing, and Payment

6.1 Free Plan

The Free plan is available at no cost and does not require payment information. Free plan users are subject to daily AI request limits as described on our pricing page.

6.2 Paid Plans

Paid subscriptions are billed on a monthly or annual basis through Freemius, Inc. By subscribing to a paid plan, you authorise Freemius to charge your designated payment method on a recurring basis at the stated price, until you cancel.

6.3 Price Changes

We reserve the right to change our subscription prices. If we change the price of your current plan, we will provide at least 30 days’ advance notice by email. Your continued subscription after the change takes effect constitutes your acceptance of the new price.

6.4 Taxes

Subscription prices are exclusive of all taxes, levies, and duties. You are responsible for paying all applicable taxes.

6.5 Failed Payments

If a scheduled payment fails, Freemius will retry the charge. If payment cannot be collected after reasonable attempts, your paid subscription will be downgraded to the Free plan until payment is successfully processed.

7. Cancellation and Refunds

You may cancel your subscription at any time from your Freemius account dashboard. Cancellation takes effect at the end of your current billing period. We offer a 14-day money-back guarantee on all new paid subscriptions. For full details, see our Refund Policy.

8. Updates and Support

Paid subscribers receive access to all plugin updates released during their active subscription period. Free plan users receive updates to the core free feature set. Support is provided via email at support@toolgive.com. We aim to respond within 2–5 business days. We reserve the right to discontinue support for older plugin versions.

9. Intellectual Property

The WP AI Builder name, logo, website design, documentation, and premium feature specifications are the intellectual property of Saifullah Khalid and toolgive.com. You may not use our name, logo, or branding without our prior written consent. The underlying plugin code is distributed under the GPL-2.0 licence, which governs the rights to use, modify, and redistribute that code.

10. Third-Party Services

WP AI Builder is designed to work with third-party AI providers and with Elementor. We do not control and are not responsible for the availability, performance, or practices of these third-party services. Your use of third-party services is governed by their own terms of service and privacy policies. We are not liable for any disruption caused by changes to third-party services.

11. Disclaimer of Warranties

WP AI Builder is provided “as is” and “as available” without any warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that AI-generated content produced through WP AI Builder connections will be accurate, complete, or suitable for your intended use. You are solely responsible for reviewing and approving all AI-generated changes to your website before publication.

12. Limitation of Liability

To the maximum extent permitted by applicable law, toolgive.com and Saifullah Khalid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, service interruption, or system failure, arising out of or in connection with your use of WP AI Builder or toolgive.com, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for all claims shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless toolgive.com, Saifullah Khalid, and our affiliates, officers, agents, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you create, edit, or publish using WP AI Builder that causes harm to a third party.

14. Termination

We may suspend or terminate your access to WP AI Builder at any time, with or without cause, including if we reasonably believe you have violated these Terms. You may terminate your account at any time by cancelling your subscription and uninstalling the plugin. Upon termination, all rights and licences granted to you will immediately cease. Provisions that by their nature should survive termination (including Sections 9, 11, 12, 13, and 15) will remain in effect.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved by good-faith negotiation shall be submitted to the exclusive jurisdiction of the courts located in Pakistan. If you are a consumer in the European Union, you may also have rights under the mandatory consumer protection laws of your country of residence.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by email and/or by posting a notice on toolgive.com at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
